Group 1 Automotive Announces Pricing of $1,250 Million Offering of Senior Notes
HOUSTON, Sept. 8, 2026 /PRNewswire/ — Group 1 Automotive, Inc. (NYSE: GPI), a Fortune 250 automotive retailer, announced the pricing of its private placement of $625 million in 6.250% senior unsecured notes due 2032 (the “2032 Notes”) and $625 million in 6.625% senior unsecured notes due 2035 (the “2035 Notes”). The offering is set to close on September 22, 2026, pending customary closing conditions.
The proceeds will be used to fund the previously announced acquisition of dealership assets from Hennessy Automobile Companies, Inc., and to pay related costs. Until the acquisition closes, the proceeds will temporarily repay a portion of the outstanding borrowings under its revolving credit facility.
Redemption Conditions:
If the Hennessy Acquisition is not completed by January 6, 2027, or if certain events occur, Group 1 will be required to redeem all 2032 Notes at their initial issue price plus accrued interest. In this event, unutilized proceeds will be applied towards repaying its revolving credit facility.
