Enbridge Acquires Tallgrass Energy’s Crude Transportation Business

Enbridge has announced a significant acquisition of Tallgrass Energy’s crude transportation assets for $2.55 billion in cash. This deal aims to enhance Enbridge’s pipeline and storage capabilities, linking U.S. Rockies production to the Cushing, Oklahoma oil hub.

Key Details:

  • Pipeline Interests: Enbridge will gain a 75% interest in the 1,050-mile Pony Express Pipeline, which transports approximately 460,000 barrels per day (bpd) and connects Rockies crude production to Cushing, alongside around 500,000 bpd of refining capacity.
  • Additional Assets: The agreement includes a 51% interest in the Powder River Gateway system, encompassing two pipelines with a combined capacity of 240,000 bpd and about 8.4 million barrels of storage across nine terminals.
  • Strategic Fit: The acquisition strengthens Enbridge’s connectivity between the Bakken, Powder River Basin, and Denver-Julesburg Basin, complementing its existing Express-Platte system.

Financial Impact:

  • Valuation: The purchase price reflects an estimated forward enterprise value-to-EBITDA multiple of 10 to 11 times.
  • Expansion Project: Also included is the PXP2 expansion project, valued at roughly $300 million, which is expected to increase Pony Express capacity to around 515,000 bpd, projected to commence in late 2027.
  • Cash Flow Benefits: Enbridge anticipates an increase in distributable cash flow per share during the first full year of ownership, without impacting its 2026 financial guidance.

Future Plans:

  • Funding: The acquisition will be partially financed through an equity offering to maintain financial flexibility for future growth.
  • Long-Term Outlook: Enbridge aims for a leverage target of 4.5 to 5.0 times debt-to-adjusted EBITDA, alongside a medium-term goal of about 5% compound annual growth in EBITDA and distributable cash flow per share.

Regulatory Approval:

The transaction is pending regulatory approvals, including U.S. antitrust clearance, with an expected closing later this year.
