Group 1 Automotive Announces Senior Unsecured Notes Offering
HOUSTON, Sept. 8, 2026 /PRNewswire/ — Group 1 Automotive, Inc. (NYSE: GPI), a Fortune 250 automotive retailer with 249 dealerships in the U.S. and U.K., plans to offer $625 million in senior unsecured notes due 2032 and another $625 million due 2035, subject to market conditions.
Use of Proceeds
The proceeds are earmarked to fund the Hennessy Acquisition, involving dealership assets and related real estate from Hennessy Automobile Companies, Inc. If the acquisition does not close by January 6, 2027, or under certain circumstances, the company will redeem the 2032 Notes at face value plus accrued interest.
Offering Details
The Notes have not been registered under the Securities Act of 1933 and will only be offered to qualified institutional buyers and non-U.S. persons outside the United States.
