Prospera Energy Initiates $12 Million Private Placement to Support Heavy Oil Well Reactivation and Enhancement Initiatives in Western Canada

Prospera Energy Inc. Announces Major Capital Raise

Overview:
Calgary-based Prospera Energy Inc. (TSXV: PEI) has announced a non-brokered private placement targeting up to $12 million CAD through the issuance of 400 million units priced at $0.03 each. This marks the company’s third attempt at securing this financing, following two previous offerings in June and August that were terminated without the issuance of any securities.

Key Details:

  • Unit Composition: Each unit consists of one common share and one warrant, allowing holders to purchase an additional share at $0.05 for two years post-closing.
  • Closing Timeline: The financing is expected to close on or before September 30, 2026, pending final approval from the TSX Venture Exchange.

Use of Proceeds:
The funds will not go to a general fund; rather, they are specifically earmarked for operational programs designed to enhance production across Prospera’s properties in Saskatchewan and Alberta. Key projects include:

  1. Luseland Well Reactivation Program: Aims to reactivate previously shut-in heavy-oil wells.
  2. Luseland Well Optimization Program: Focuses on upgrading active wells by installing additional recycle pumps and performing necessary maintenance.
  3. Cuthbert Workover Program: Targets shut-in wells requiring workovers for production restoration and optimization.

These initiatives prioritize production growth utilizing existing wellbores, offering a potentially quicker and cost-effective solution compared to new drilling ventures.

Eligibility and Conditions:
Units are available to qualified purchasers under specific exemptions from prospectuses and registration requirements, focusing on those meeting Canadian securities law criteria. Notably, these units can be held in registered accounts such as TFSAs and RRSPs, making them more accessible to smaller retail investors.

  • Statutory Hold Period: All securities will have a four-month and one-day hold period post-closing.
  • Finder’s Fees: The company may compensate qualified finders with up to 7% fees on cash proceeds and warrants for units issued.

Recent Transactions:
In conjunction with the placement announcement, Prospera revealed two share-for-debt transactions that settle over $275,000 in trade payables:

  • First Transaction: Settlements with six vendors covering $202,531.31 issued as 5,500,348 shares and 1,250,000 warrants.
  • Second Transaction: Updates on a previous May arrangement, settling $72,671.43 through the issuance of 1,782,746 shares.

These transactions help maintain liquidity by managing vendor obligations while avoiding cash expenditure.

The company emphasizes optimizing recovery through environmentally safe methods and has identified roughly 140 potential well reactivaion candidates, although these aren’t classified as reserves or resources under National Instrument 51-101.

Summary:
