Key Details of the Class Action
What is the Class Action About?
The lawsuit alleges that FuelCell Energy and its executives, including CEO Jason B. Few and CFO Michael S. Bishop, violated the Securities Exchange Act of 1934 by making materially false statements regarding the company’s manufacturing capacity and a major commercial agreement.
The lawsuit highlights the following points:
- Misleading Statements: During the class period, the defendants promoted a Capital Equipment Purchase Agreement (CEPA) announced on June 24, 2026, for a supply of carbonate fuel cell block systems, while failing to disclose manufacturing realities.
- Inadequate Capacity: FuelCell’s actual manufacturing capacity was insufficient to meet the production rates required by Fit Energy.
- False Financial Representation: The production shortfall resulted in gross losses due to excessive costs and overhang tied to the agreement.
The truth emerged on September 2, 2026, when FuelCell reported a substantial net loss of $45.3 million and experienced a near 16% collapse in stock price after these losses were disclosed.
